Definition
This End User License Agreement (EULA) is an agreement between you, the license holder (hereafter referred to as «the user»), and us, WrittenShape / Raphaël de La Morinerie (hereafter referred to as «we» or « WrittenShape»).

The EULA grants specific rights and establishes clear limitations for the use of our font software (hereafter referred to as «fonts»). It also defines the use of our fonts by designers and third parties such as printers or developers.

The license holder is the person or entity that will benefit from the fonts. The designer is the person or entity that will design using the fonts for a client. The client of the designer is the license holder, not the designer. This means that the designer is not responsible for paying for the fonts; it is the client’s responsibility. Unless the designer is their own client. If the designer uses our fonts for multiple clients, each client must purchase their own license. 

The purpose of the license is to grant the user a non-exclusive right to use our fonts under the conditions and within the limits outlined in this agreement, in consideration of the price paid by the license holder.
One license is valid for a single company, business entity, or institution only, and is restricted to the business locations specified by the license owner. There are no limitations on the number of workstations. 

The EULA governs all use of our fonts and takes effect upon downloading or using them. 
By purchasing our font software, you agree to the terms of this agreement.


Font Ownership & Copyright
The EULA provides a non-exclusive, terminable, worldwide, and non-transferable license to use our fonts. 
The intellectual property and copyright of the font remain with us. 

We sell and issue licenses to use the fonts, but we do not distribute or sell the copyright of the design or any other ownership rights of the design or font software. The fonts remain the property of WrittenShape. Any rights not specifically granted by us in this agreement are reserved. 

We have made every effort to clearly state the rights you have when purchasing a specific license. We will promptly respond to any doubts you may have.


Prices
Our prices are calculated based on two parameters: the number of employees in your company and the intended uses of the fonts.
The pricing of our fonts is based on the number of employees of the individuals or entities benefiting from the purchased fonts. 
We have established this pricing system as we believe that fonts are a fundamental component of meaningful and effective communication. 
This value increase with size of your company.

You are not allowed to use the fonts for purposes not specified in the order. If any of your uses exceed the limitations of your current license, you must contact us to purchase an upgrade for your license.
Clients are responsible for applicable taxes in their country, including any withholding taxes.


Licenses
A wide range of licenses is available to cover various needs. Three online and six on request.

Desktop
The Desktop license allows a user to create artwork. Printed matter: books, posters.
On-screen projects: social media, PDF, static images, motion graphics, animation. 
Use for social networks is included.

Font format: OTF
You can share the font with your printer.

Web
The Web license allows a user to display the font on their website.
Webfonts are provided only for self-hosting and website use. You are not limited to a specific number of domains or subdomains, as long as all websites using the font are operated by your company. You must host the font on your website’s server where you host other website assets. If the server’s directory structure is publicly accessible, you must include the text of this license alongside the hosted files and clearly mark them as licensed assets.

You can share the font with your developer.
Font format: WOFF2.

Desktop + Web
This license combines the Desktop license and the Web license.
All rights and restrictions mentioned above apply.
Font format: OTF & WOFF2.

Logotype
The Logotype license allows a user to use our font in an artwork that can be trademarked or registered, such as a logotype or wordmark.
It grants the license holder the right to legally register the logotype designed with our fonts. It allows the designer to modify glyphs contained in the font software.
The Logotype license enables an entity to exploit the artwork created with our fonts. It covers all uses worldwide and is perpetual.

Video Broadcasting & Streaming
The Video Broadcasting and Streaming license allows a user to display our fonts on video media in the context of online streaming services, television broadcast/cable, and cinema/film. Including TV shows, movies, commercial advertisements, video billboards, music videos.

Merchandise & Hardware
The Merchandise and Hardware license allows a user to display our fonts on physical products such as hardware, clothing, signs, signage, and packaging designed for sale.

Application, Video Game & E-Publication
The Application, Electronic Publication & Video Game license allows a user to use the font by embedding it in a limited number of apps, mobile apps, or e-publications.

Trial
We offer trial versions of our font on request for testing, evaluation, and pitching purposes only.
Commercial and marketing uses are not allowed.
You must purchase an appropriate license before delivering or publishing any use of our font.

Other Uses
If you wish to employ our fonts for any other uses not specified above, please contact us to discuss an agreement.


Restrictions

Use & Purpose
We do not tolerate hate speech, racism, homophobia, or discrimination, and neither do our fonts. 
Do not use them to express any form of violence.
Please contact us for any political use.

Distribution
You are not allowed to give or sell our fonts to third parties.

Sharing Fonts
The license owner agrees to inform third parties with whom they share access to the font about the content and conditions of this EULA.
You are allowed:
To send the font to a third-party subcontractor, printer, developer, or service bureau who will use the font on your behalf and for no other purpose. They must agree to the terms of this license and delete all copies of the font in their possession when the work is completed.

You are not allowed:
To distribute the fonts to anyone without a copy of this EULA.
To place the fonts on public servers or public repositories.
To embed the fonts in a way that end users can access them.

Modification
You are not allowed to:
Open the font in font editor software.
Modify or add any glyphs or code.
Convert the fonts to different formats.
Reverse engineer, decompile, or disassemble the fonts.
Create new fonts based on the design of our fonts.
Add weights or italics.
Add other scripts: Cyrillic, Greek, Hebrew.
Personalize font names.


Liability
We will not be liable for any damages sustained by the license owner arising from the use or inability to use our font software. WrittenShape reserves the right to modify the EULA. If the EULA changes, always refer to the license received at the time of your purchase.


Warranty
The license owner acknowledges that our font software is provided «as is,» and we do not provide any warranty or guarantee as to the suitability of the font software for any particular purpose. If you encounter a problem with our fonts, we will make a good faith effort to provide you with documentation and support.


Termination
We reserve the right to terminate a license if you breach any term of this agreement. However, we will make a good faith effort to allow you to upgrade your license.
Upon termination, the license holder must delete all copies of the font software. Any dispute arising from this EULA is governed by the laws of France. The place of jurisdiction is Paris, France.


Finally
You are not obligated to include a colophon or credit the font or its designer, but you are more than welcome to do so. We are always happy to see how our fonts are used, and we would love to hear about the artwork you create with them!
